LinkMed AB (publ) (“LinkMed” or the ”Company”, or “Allenex” after decision at the 2011 AGM to change corporate name to Allenex from LinkMed), corporate registration number 556543-6127, is a Swedish public stock corporation domiciled in Stockholm. Allenex, the named LinkMed was listed on the Stockholm Stock Exchange in December 2006, under, now called the NASDAQ OMX Nordic Exchange Stockholm.
The Swedish Code of Corporate Governance (“Code”) was first implemented in December 2004. A revised Code came into force on July 1, 2008, and thereafter revised on another occasion, with effect from February 1, 2010. The new Code rules are to be applied for the first time for years commencing on or after February 28, 2009. This means that Allenex’s corporate governance report for 2010 is compiled in accordance with the Code version applicable from February 1, 2010. The Code is available at the Swedish Corporate Governance Board’s website (www.bolagsstyrning.se).
Allenex’s corporate governance practices are regulated by the Swedish Companies Act, Swedish stock exchange legislation, LinkMed’s Articles of Association, and the Code. Allenex submits corporate governance reports in conjunction with the submittal of the annual report for the respective financial year.
Corporate governance reports describe how Allenex has followed the Code for the year to which the annual report relates and justifies any deviations from the Code.
The report is not a part of the formal annual accounts and has not been subject to review by the company’s auditor. Deviations from the Code and justifications for such deviations are explained hereafter.
